ok nice places to take the missus:

Shinjuku park hyatt (either the peak bar, or new york bar. would be good place to propose too)

Meiji Jingumae shrine in harajuku (beautiful shrine, also not a bad place to propose)

walk through omote sando and harajuku (very trendy area, lots of nice shops)

tokyo tower (amazing view)

roppongi hills (lots of big names, tiffany and co, versace, louis vouiton, hermes etc etc)

i don't know osaka very well, but kyoto is very near by. I would take her to Kyoto for a day to see the imperial palace, Kinkakuji (golden temple) and then have dinner in the Gion district after dark with a chance of spotting some real life Geisha. Also take her to Osaka-jo (Osaka Castle) it's amazing grounds.

You could head out to Kobe aswell if you're going to Osaka, Rokko Mountain and the Farm up there is really nice not to mention the spectacular view, theres 'Herb Park' on the mountainside just north of Kobe city in Shin Kobe (walking distance) if she like flowers and perfumes/herbal stuff, and Harbourlannd has good mix of interesting shops and restaurants, theres also a romantic ferris wheel there right on the harbour if you want to propose for the 3rd time if she says no at Osaka castle and at Kabukicho love hotel... :)

well osaka to tokyo on the nozomi train is about $130. if that's the only major trip you are doing then personally I say skip the rail pass. as travelling within osaka and tokyo wont cost much. buy a suica card instead and just add yen to it as needed. plus the JR pass wont get you on the nozomi anyway, it's only valid for the slower/older shinkansen. and if you are telling people you caught a shinkansen you want to be able to say you caught the 300kph one!

excuse the ingnorance but how do i obtain a nozomi ticket? Just remember that i will not be able to speak the language, dont know where anything is, so yeah as much info would be great
